Case Highlights & Representative Work
Advised a leading gold mining company having Mining Development Agreements (MDAs) with the Government of Tanzania on the issue related to specific relief as provided under the VAT Act.
Acquisition of a mining company with one of its main assets in Tanzania by way of a scheme through change in shareholding at holding company level, value worth over USD 1.2 B.
Represented a mining company in issues related to its rights over a retention licence over a block worth over an estimated USD 34M+.
Acted for leading mining companies to ensure compliance of special mining licences, mining licences, prospecting licences amongst other licences under the Mining Act and its regulations.
Represented a mining company in licensing matters in issues related to its rights over a special mining licence worth over USD 50M.
Advised a Canadian mining company in connection with its potential acquisition of OreCorp, an exploration company listed on the Australian Securities Exchange and holds a special mining licence in the mineral-rich Nyanzaga Gold Project Tanzania through a joint venture with the Government of Tanzania, including advising on various regulatory approvals and structuring considerations.
Advised a South African company one of the largest single-site precious metals refining and smelting complexes in the world in connection with the Tanzanian mining legislation and regulations relating to the incentives for the minerals refined in Tanzania, and undertaking due diligence over several mineral refining companies in Tanzania.
Advised a Chinese company in connection with its investment in graphite mining projects in Tanzania by acquiring three (3) prospecting mining licenses and four (4) applications for the prospecting mining licenses.
Advised an Australian company in connection with the review of the Framework Agreement and Special Mining License, including providing an advice on the relevant mining local content laws and state participation regulations.
Advised a global company specialising in energetic materials through a best-in-class technological platform that is vertically integrated and has global production capacities, in connection with its interest to participate in a project in Tanzania, by advising them on the laws related to supply of explosives to the mining companies in Tanzania.
